Terms of Service

These Terms of Service govern the services provided by Digitalne storitve, Nika Šibilja Mlinarič s.p., Mrzla Planina 42, 8292 Zabukovje, Slovenia, operating under the brand FLOUA.

1. Services
FLOUA provides creative direction, branding, graphic design, packaging design, web and digital design, photography, video and other creative services. Services may be provided as individual projects or as ongoing creative support, depending on the agreed scope of work.

2. Projects & onboarding
Before work begins, the scope, deliverables, timeline and price are agreed with the client in writing. Depending on the scope of the collaboration, FLOUA may also provide a separate proposal, project agreement or service agreement.

Work begins according to the agreed project timeline and after any required agreement or initial payment has been completed.

3. Payment
Project fees, payment schedules and payment terms are defined in the relevant proposal, agreement or invoice.

For ongoing monthly collaborations, services are billed monthly according to the agreed plan or scope.

Invoices are issued electronically and are payable via bank transfer within the payment period stated on the invoice.

4. Cancellation & termination
Cancellation and termination terms depend on the type of collaboration and are defined in the relevant proposal or agreement.

For ongoing monthly collaborations, either party may terminate the collaboration according to the notice period agreed in writing.

Payments for work already completed or currently in progress remain due.

5. Project timelines
Project timelines are agreed individually based on the scope and complexity of the work.

Delivery dates depend on timely feedback, approvals and delivery of required materials from the client. Delays in client feedback or materials may result in corresponding changes to the project timeline.

For ongoing creative support, turnaround times may vary depending on the type, complexity and volume of requests.

6. Revisions
The number and scope of revisions are defined in the relevant proposal or agreement.

Revisions must relate to the originally agreed brief and scope. New concepts, additional deliverables or significant changes to the original brief may be treated as additional work and quoted separately.

For ongoing creative support plans that include unlimited revisions, revisions must still relate to the original request.

7. Changes in scope & additional work
Any work requested outside the originally agreed scope may require an additional fee and/or adjustment to the project timeline.

FLOUA will communicate any significant changes in scope before proceeding with additional work.

8. Intellectual property
Upon full payment, the client receives the rights to the final approved deliverables as defined in the relevant proposal or agreement.

Working files, unused concepts, drafts and other materials not included in the final deliverables remain the property of FLOUA unless otherwise agreed in writing.

FLOUA retains the right to showcase completed work in its portfolio, website, social media and other promotional materials unless otherwise agreed in writing.

9. Third-party materials
Certain projects may include third-party assets, fonts, stock imagery, software, plugins or other licensed materials. Such materials remain subject to their respective third-party licence terms and are not transferred to the client beyond the rights permitted by those licences.

10. Confidentiality
FLOUA treats confidential client information and non-public project details as confidential and will not intentionally disclose them to third parties except where necessary to provide the agreed services or where required by law.

11. Client responsibilities
The client is responsible for providing accurate information, content, feedback, approvals and other materials required to complete the work.

The client is also responsible for ensuring that materials supplied to FLOUA may legally be used for the intended purpose.

12. Limitation of liability
To the extent permitted by applicable law, FLOUA is not liable for indirect or consequential damages arising from the use of its services or final deliverables.

13. Governing law
These Terms are governed by the laws of the Republic of Slovenia.
